OPCLAW SERVICE DISCLOSURE & PLATFORM TERMS

Provider: opCLAW (“Company”, “we”, “us”, or “our”)

Applicability: Applies to all tenants, clients, and users (“Tenant”, “you”, or “your”) accessing our managed cloud hosting environments, infrastructure nodes, and orchestrated services (the “Service”).

1. Open-Source Software Disclosure & Attribution (MIT License)

The Service deploys, orchestrates, and manages instances of the open-source OpenClaw agent architecture. In strict compliance with the upstream software licensing terms, the following copyright notice and permission attribution are explicitly incorporated into these Terms:

Permission is hereby granted, free of charge, to any person obtaining a copy of this software and associated documentation files (the “Software”), to deal in the Software without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, and to permit persons to whom the Software is furnished to do so, subject to the following conditions:

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. 2. Proprietary Infrastructure, Systems, & Trade Secrets

2.1 Intellectual Property Boundaries

While the foundational application layer operates under the open-source MIT License disclosed in Section 1, the surrounding managed architecture, provisioning scripts, automation blueprints, network routing topologies, secure zero-trust meshes, resource allocation logic, and multi-tenant isolation mechanisms are the exclusive, highly confidential trade secrets and proprietary intellectual property of opCLAW.

2.2 Prohibited Actions

Your subscription or tenant agreement grants you a limited, revocable, non-transferable right to access the managed environment. It does not grant any rights, titles, or implied licenses to our backend operations. Tenants are strictly prohibited from:

Attempting to reverse-engineer, scan, or map the host-level virtual private servers (VPS) or compute node topologies.
Extracting host-level NGINX configurations, security hardening parameters, or internal edge-routing code.
Accessing or probing any centralized management, monitoring, or telemetry systems used to maintain multi-tenant health.

3. Tenant Data Ownership & Portability Rights

3.1 Unconditional Data Ownership

opCLAW asserts zero ownership claims over your business logic, operational parameters, or generated data. The Tenant retains complete intellectual property rights over all assets living within their isolated database and storage layers, explicitly including:

Structured and unstructured conversation transcripts, logs, and interaction histories.
User-uploaded media files, documents, and vector database embeddings.
Customized agent behavioral configuration profiles, including the skills.md and soul.md files.

3.2 Continuous Data Extraction

The Tenant maintains an absolute right to export and download their raw business data (as itemized in Section 3.1) on-demand through the tenant dashboard or provided administrative API endpoints in standardized, machine-readable formats.

4. The Instance “Buy-Back” & Portability Plan

4.1 Migration Framework

Subject to the activation terms of your specific service tier, opCLAW provides a structured “Buy-Back” and instance portability plan. This mechanism allows a Tenant to request a full standalone export of their functional environment to migrate to their independent self-hosted infrastructure or a third-party cloud.

4.2 Snapshot Scope and Exclusions

Upon execution of the Buy-Back plan, opCLAW will deliver a serialized instance snapshot or deployment archive designed to reconstitute the agent system.

Included Assets: The snapshot will contain all functional tenant-specific application data, customized configurations, backend runtime variables, database states, and skills.md logic files.
Excluded Assets: The snapshot strictly excludes all opCLAW proprietary infrastructure wrappers, host-level configuration blueprints, specialized load-balancing hooks, and enterprise cloud optimization utilities.

4.3 Transfer of Operational Liability

Immediately upon delivery of the instance snapshot or migration bundle, all operational obligations—including but not limited to server maintenance, security patches, compute resource costs, compliance standards, and data backups—transfer entirely to the Tenant. opCLAW gives no warranty and assumes zero liability for the performance, stability, or security of the environment once running outside our hardened cloud infrastructure.

5. Disclaimer of Warranties

EXCEPT FOR THE SPECIFIC CORE MIT SOFTWARE LICENSE DISCLOSURE, ALL MANAGED HOSTING INFRASTRUCTURE, EDGE NETWORKING, AND PROPRIETARY ORCHESTRATION PLUGINS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPCLAW DISCLAIMS ALL WARRANTIES, STATUTORY OR IMPLIED, CONCERNING PLATFORM SECURITY AND INFRASTRUCTURE UPTIME OUTSIDE OF CONTRACTUALLY AGGREGATED SERVICE LEVEL AGREEMENTS (SLAs).
